Distribution Agreement Review for a Consumer Goods Importer
A Selangor-based importer had been offered a distribution appointment by an international brand. The agreement was 34 pages, governed by English law, and had been sent with a request to sign within two weeks. The client had concerns about the exclusivity provisions and termination rights but had not read the document in full.
We completed a full review of the agreement within five working days. The cover memorandum identified eight clauses requiring attention, including a governing law provision that would have required any dispute to be resolved in London, a liability cap that was set below the minimum order value, and a unilateral variation clause allowing the brand to change pricing on 14 days' notice.
The client negotiated four of the eight flagged points. The governing law was changed to Malaysia. The liability cap was doubled. The variation notice period was extended to 60 days. The distribution appointment proceeded on materially better terms than originally offered.
Software Licence Agreement for a Technology Services Provider
A KL-based software developer was licensing a proprietary platform to enterprise clients and had been using a two-page terms document that had never been properly reviewed. A prospective client's legal team had raised concerns about IP ownership and audit rights, prompting the developer to seek a properly structured licence agreement.
Following a briefing call, we drafted a full software licence agreement covering scope of licence, IP ownership and carve-outs for client data, service level commitments, audit rights (limited and subject to notice), limitation of liability, and a clear data processing schedule reflecting PDPA obligations.
The agreement was executed with the prospective client after one round of comments. The developer has since used the same agreement as their standard template, with minor adjustments, for three further enterprise engagements. The two-page document it replaced had not addressed several of the points that had been in dispute.
Settlement Agreement Following Services Dispute
A professional services firm and a former retained contractor had a dispute over outstanding fees and the ownership of work product produced during the engagement. Both sides wished to resolve the matter without litigation. Without-prejudice discussions had reached a commercial position, but no document had been prepared.
We prepared a settlement agreement and deed of release incorporating the agreed payment schedule, a mutual release of all claims arising from the engagement, clear IP assignment provisions transferring the disputed work product, a non-disparagement clause acceptable to both sides, and confidentiality provisions. Both parties' advisers reviewed the draft.
The settlement agreement was signed within two weeks of our instruction. The matter concluded without any court filing. Both parties reported that the document was fair and that the process had been considerably less stressful than anticipated. The total cost of the settlement drafting was substantially less than a single day of litigation costs.
