A thorough, written review of supply, service, distribution, licensing, or shareholder agreements you have received from a counterparty. We mark up the draft with tracked changes, provide a plain-English cover memorandum explaining the commercial implications of key clauses, and flag items worth negotiating rather than accepting as drafted.
The review covers indemnity and liability caps, IP ownership, termination rights, governing law and dispute forum, data handling, and any unusual provisions that deserve attention. We do not rewrite the contract unless asked — the service is designed to leave you in a better position to discuss it with your counterparty.

Considered preparation of settlement agreements, deeds of release, mutual discontinuance documents, and standstill arrangements for commercial matters approaching or already in dispute. Where mediation or without-prejudice discussions are underway, we also draft term sheets, heads of agreement, and confidentiality frameworks to support the conversation.
